Regular and special meetings.

355.376. 1. If the time and place of a directors' meetingare fixed by the bylaws, or the board meets at regular intervals,the meetings are regular meetings. All other meetings arespecial meetings.

2. A board of directors may hold regular or specialmeetings in or out of this state.

3. Unless the articles or bylaws provide otherwise, a boardmay permit any or all directors to participate in a regular orspecial meeting by, or conduct the meeting through the use of,any means of communication by which all directors participatingmay simultaneously hear each other during the meeting. Adirector participating in a meeting by this means is deemed to bepresent in person at the meeting.
