Waiver of notice.

355.391. 1. A director may at any time waive any noticerequired by this chapter, the articles or bylaws. Except asprovided in subsection 2 of this section, the waiver must be inwriting, signed by the director entitled to the notice, and filedwith the minutes or the corporate records.

2. A director's attendance at or participation in a meetingwaives any required notice of the meeting unless the directorupon arriving at the meeting or prior to the vote on a matter notnoticed in conformity with this chapter, the articles or bylawsobjects to lack of notice and does not vote for or assent to theobjected-to action.
