Effect of certificate of authority.

355.771. 1. A certificate of authority authorizes theforeign corporation to which it is issued to transact business inthis state, subject, however, to the rights of the state to revokethe certificate as provided in this chapter.

2. A foreign corporation with a valid certificate ofauthority has the same rights and enjoys the same privileges as,and except as otherwise provided by this chapter is subject tothe same duties, restrictions, penalties, and liabilities now orlater imposed on, a domestic corporation of like character.

3. This chapter does not authorize this state to regulatethe organization or internal affairs of a foreign corporationauthorized to transact business in this state.
