Change of registered office, agent.

355.786. 1. A foreign corporation authorized to transactbusiness in this state may change its registered office orregistered agent by delivering to the secretary of state forfiling a statement of change that sets forth:

(1) Its name;

(2) The street address of its current registered office;

(3) If the current registered office is to be changed, thestreet address of its new registered office;

(4) If the current registered agent is to be changed, thename of its new registered agent and the new agent's writtenconsent, either on the statement or attached to it, to theappointment; and

(5) That after the change or changes are made, the streetaddresses of its registered office and the office of itsregistered agent will be identical.

2. If a registered agent changes the street address of itsbusiness office, the agent may change the address of theregistered office of any foreign corporation for which the agentis the registered agent by notifying the corporation in writingof the change and signing, either manually or in facsimile, anddelivering to the secretary of state for filing a statement ofchange that complies with the requirements of subsection 1 ofthis section and recites that the corporation has been notifiedof the change.
