Forfeiture of corporate rights, when--duties of licensingauthority.

356.251. The certificate of incorporation of a professionalcorporation or the certificate of authority of a foreignprofessional corporation may be forfeited by the secretary ofstate if the corporation fails to comply with the provisions ofsections 356.011 to 356.261 which are applicable to it or if thesecretary of state determines or is informed by the licensingauthority that the corporation fails or has failed to comply withthe requirements of the licensing authority that allow thecorporation to practice any professional service as a corporationunder sections 356.011 to 356.261. Each licensing authority inthis state shall promptly certify to the secretary of state thenames of all such corporations that have given cause forforfeiture as provided in sections 356.011 to 356.261, togetherwith the facts pertinent thereto. Whenever a licensing authorityshall so certify the name of a corporation to the secretary ofstate as having given cause for forfeiture of the corporation'scertificate of incorporation or certificate of authority asprovided in sections 356.011 to 356.261, then the licensingauthority shall concurrently mail to the corporation at itsregistered office in this state a notice that such certificationhas been made.
