Proceeding to direct execution of certificate.

359.131. If a person required by section 359.121 toexecute any certificate fails or refuses to do so, any otherperson who is adversely affected by the failure or refusal maypetition the circuit court of the county of the principal placeof business or of the registered office of the limitedpartnership to direct the execution of the certificate. If thecourt finds that it is proper for the certificate to be executedand that any person so designated has failed or refused toexecute the certificate, it shall order the secretary of stateto record an appropriate certificate.
