Withdrawal of a general partner--notice to other partners--breach ofpartnership agreement, setoff of damages, when.

359.331. A general partner may withdraw from a limitedpartnership at any time by giving written notice to the otherpartners, but if the withdrawal violates the partnershipagreement, the limited partnership may recover from thewithdrawing general partner damages for breach of thepartnership agreement and offset the damages against the amountotherwise distributable to him.
