Assignment of partnership interest--rights of assignee.

359.411. Except as provided in the partnership agreement, apartnership interest is assignable in whole or in part. Anassignment of a partnership interest does not dissolve a limitedpartnership or entitle the assignee to become or to exercise anyrights of a partner. An assignment entitles the assignee toreceive, to the extent assigned, only the distribution to whichthe assignor would be entitled. Except as provided in thepartnership agreement, a partner ceases to be a partner uponassignment of all his partnership interest.
