Bylaws, when and how adopted--approval by members.

369.044. Within thirty days after the corporate existenceof an association begins, or within such additional time as thedirector of the division of finance may allow, the directors ofthe association shall hold an organization meeting at which timethey shall elect officers, adopt the bylaws, and take such otheraction as is appropriate. The bylaws may contain provisions forthe regulation and management of the affairs of the associationnot inconsistent with law or the articles of incorporation. Theboard of directors may adopt, alter, amend and repeal the bylawssubject to the power of the members of a mutual association orstockholder of a capital stock association to change such actionat any meeting of members, but no change by the members orstockholders shall affect any action taken prior thereto. Thedirector of the division of finance shall be notified of anyamendment to the bylaws within ten days after adoption by theboard of directors and no amendment shall become effective untilapproved by the director of the division of finance. Failure todisapprove within twenty days shall constitute approval.
