371.090. 1. The articles of incorporation may be amended bya majority vote of the stockholders at any regular meeting or ata special meeting called for that purpose.
2. Articles of amendment signed by the president or vicepresident and attested by the secretary certifying to theamendment and its lawful adoption shall be executed, acknowledgedand filed with the director of finance and, when approved by thestate banking board, recorded with a certificate of the directorof finance approving the articles of amendment, in the samemanner as the original articles of incorporation. As soon as thedirector of finance issues his certificate of amendment theamendment is in effect.
