Board to accept certificate--file with secretary of state--fee--newboard--notify director.

379.550. 1. Upon receiving the certificate and authorityaforesaid, the board of directors shall by resolution accept thesame, and shall file with the secretary of state a copy of saidarticles of association and of the certificate and authorizationof said director, and the corporate existence of said companyshall thereupon be deemed and held extended and continued for theperiod mentioned in said articles of association, and acertificate by the secretary of state, under the seal of thestate, that said corporation has been duly organized and itscorporate existence extended and continued for such period shallbe taken by all courts as evidence of the continued corporateexistence of such company.

2. They shall also, at the time of filing said articles, payto the state director of revenue the fee required of newcompanies on filing articles of corporation.

3. If a new board of directors is designated in the articlesof association, they shall at the time originally limited by lawor the charter of the company for the termination of itscorporate existence enter upon the performance of their duties.

4. After such time the board of directors of the companyshall make the necessary changes, if any, in the stock andbusiness of the company to conform to the articles of associationand the general insurance statutes of this state, and shallthereupon notify the director of the fact that the company isprepared to continue operations under the general insurancestatutes and articles of association aforesaid.
