Amendment to articles and bylaws, procedure--fee.

380.241. 1. The articles of incorporation may be amended bya two-thirds vote of the members voting at any meeting of membersif members have been given not less than thirty days' notice ofsuch meeting and proposed amendments. After the adoption of anamendment to the articles, a certificate of amendment shall beexecuted and filed with the director in conformance with section375.221, RSMo. Upon receipt of the amendment, the director shallfollow the procedure set out in section 375.206, RSMo. Theamendment will become effective subject to section 375.216, RSMo.

2. Bylaws may be amended as provided therein. Allamendments to the bylaws shall be filed with the director. Suchbylaws shall not be inconsistent with sections 380.201 to380.591, any other applicable laws or the articles ofincorporation.

3. A fee of ten dollars shall be imposed for each amendmentto the articles of incorporation or bylaws filed.
