Articles of merger, content--executed by corporate officers.

380.311. Upon the approval of the members, articles ofmerger shall be executed in duplicate by each corporation by itspresident or a vice president, and verified by him, and thecorporate seal of each corporation shall be thereto affixed,attested by its secretary or an assistant secretary, and shallset forth:

(1) The plan of merger;

(2) As to each corporation, the number of members;

(3) As to each corporation, the number of members voting forand against such plan, respectively.
