Officers, annual election, removal from office--employees and agents.

393.845. The officers of a nonprofit sewer company shall consist of apresident, vice president, secretary and treasurer, who shall be electedannually. No person shall continue to hold the offices of president orvice president after he shall have ceased to be a director. The offices ofsecretary and of treasurer may be held by the same person and need not be amember of the board of directors. The board of directors may also elect orappoint such other officers, agents, or employees as it shall deemnecessary or advisable and shall prescribe the powers and duties thereof.Any officer may be removed from office and his successor elected in themanner prescribed in the bylaws.
