Notice of right to defend action.

400.3-119. In an action for breach of an obligation forwhich a third person is answerable over pursuant to this Articleor Article 4, the defendant may give the third person writtennotice of the litigation, and the person notified may then givesimilar notice to any other person who is answerable over. Ifthe notice states (i) that the person notified may come in anddefend and (ii) that failure to do so will bind the personnotified in an action later brought by the person giving thenotice as to any determination of fact common to the twolitigations, the person notified is so bound unless afterseasonable receipt of the notice the person notified does come inand defend.
