§  1590-c.  Utica  parking  authority.  A  board to be known as "Utica  Parking Authority" is  hereby  created.  Such  board  shall  be  a  body  corporate,  constituting a public benefit corporation, and its existence  shall commence upon the appointment of the members as herein provided.    It shall consist of nine members, four non-permanent members not to be  elected or appointed public officials to be appointed by the mayor,  and  the  five  city  of  Utica officials listed below who shall be permanent  members of the board:    1. Corporation counsel.    2. City engineer.    3. Executive director of urban renewal.    4. Majority leader of the common council.    5. Minority leader of the common council.    In the event either or both the majority leader and/or minority leader  will not or cannot serve on the board or one is removed  as  hereinafter  provided  therefrom,  then the common council shall select one or two of  its members, as the vacancies may be, to serve in the place  vacated  by  the leader or leaders. Of the non-permanent members first appointed, two  shall  be appointed for a period of four years, two for a period of five  years. At the expiration of such terms, the terms  of  office  of  their  successors  shall  be  five  years.  Each member shall continue to serve  until the appointment and qualification of his successor. Any member may  be removed by the mayor before the expiration of his  term  with  cause.  Vacancies  in  such board occurring otherwise than by expiration of term  shall be filled for the unexpired term. One of the non-permanent members  shall be the permanent chairman of the board and  the  members  of  this  board shall choose from their number a vice chairman. The members of the  board  shall be entitled to no compensation for their services but shall  be entitled to reimbursement for their  actual  and  necessary  expenses  incurred  in the performance of their official duties. The powers of the  authority shall be vested in and exercised by a majority of the  members  of  the  board. Such board may delegate to one or more of its members or  to its officers, agents, and employees such powers and duties as it  may  deem  proper. Such board and its corporate existence shall continue only  for a period of five years, or  until  such  further  time  as  all  its  liabilities  have been met, and its bonds have been paid in full or such  liabilities or bonds have otherwise been discharged. Upon its ceasing to  exist all its rights and properties shall pass to the city.
