12-892. Same; officers; general manager; personnel; resolutions governingbusiness of agency.Immediately following selection, members of the first board of directorsshall meet and organize by electing a president and vice-presidentfrom the membership of the board and a secretary and treasurer, which officesmay be combined,who need not be members of the board of directors. The board of directorsshall have power to designate and employ a general manager, subject to termsas the board deems advisable. Such general manager, subject to the controlof the board of directors, shall be the chief executive officer of the agencyand shall manage, conduct and administer the affairs of the agency. Theboard also shall have power to employ, or to delegate to the general managerthe power to employ, such engineers, attorneys, agents and other personsas necessary to carry out the functions of the agency. The board shallhave power to adopt resolutions governing the affairs and business of theagency which are not inconsistent with the provisions of this act, the bylawsof the agency and the agreement creating the agency.
