17-6101.   General powers; applicability of code.(a) In addition to the powers enumerated in K.S.A. 17-6102, every corporation,its officers, directors, and stockholders shallpossess and may exercise all the powers and privileges granted by thisact or by any other law or by its articles of incorporation, togetherwith any powers incidental thereto, so far as such powers and privilegesare necessary or convenient to the conduct, promotion or attainment ofthe business or purposes set forth in its articles of incorporation.

      (b)   Every corporation shall be governed by the provisions and besubject to the restrictions and liabilities contained in this act.
