17-6306.   Submission of matter to a shareholder votewithout board of directors determination.A corporation may agree to submit a matter to a vote of its stockholderswhether or not the board of directors determines at any time subsequent toapproving such matter that such matter is no longer advisable and recommendsthat the stockholders reject or vote against the matter.
