Article 72.--CLOSE CORPORATIONS

      17-7204.   Election of existing corporation to becomeclosecorporation.Any corporation organized under the laws of this state may become aclose corporation by executing and filing, inaccordance with K.S.A. 17-6003 and amendments thereto, a certificate ofamendment of its articles of incorporation which shall contain: (1) Astatement that it elects to become a close corporation; (2) theprovisions required by K.S.A. 17-7202 and amendments thereto to appear inthearticles of incorporation of a close corporation; and (3) a headingstating the name of the corporation and that it is a close corporation.Such amendment shall be adopted in accordance with the requirements ofK.S.A. 17-6601 or 17-6602 and amendments thereto, except that it must beapproved bya vote of the holders of record of at least 2/3 of theshares of each class of stock of the corporation which are outstanding.
