Article 73.--FOREIGN CORPORATIONS

      17-7303.   Same; doing business in Kansas;classification of activities.(a) Activities of a foreign corporation which do not constitute doing businesswithin the meaning of K.S.A. 17-7301, and amendments thereto, include:

      (1)   Maintaining, defending or settling an action or proceeding;

      (2)   holding meetings or carrying on any other activity concerning itsinternal affairs;

      (3)   maintaining bank accounts;

      (4)   maintaining offices or agencies for the transfer, exchange andregistration of the corporation's own securities or maintaining trustees ordepositories with respect to those securities;

      (5)   selling through independent contractors;

      (6)   soliciting or obtaining orders, whether by mail or electronic commerce orthrough employees or agents or otherwise, if the orders require acceptanceoutside this state before they become contracts;

      (7)   creating or acquiring indebtedness, mortgages or security interests inreal or personal property;

      (8)   securing or collecting debts or foreclosing mortgages or other securityinterests in property securing the debts, and holding, protecting andmaintaining property so acquired;

      (9)   conducting an isolated transaction that is completed within 30 days andis not one in the course of similar transactions of like nature; and

      (10)   transacting business in interstate commerce.

      (b)   The ownership in this state of income producing real property or tangiblepersonal property, other than property excluded under subsection (a),constitutes transacting business in this state.

      (c)   This section does not apply in determining the contacts or activitiesthat may subject a foreign corporation to service of process, taxation orregulation under any other law of this state.
