17-7673. Articles of organization.(a) In order to form a limited liability company, articlesof organization shall befiled with the secretary of state and set forth:
(1) The name of the limited liability company;
(2) the address of the registered office and the name and address of theresident agent forservice of process required to be maintained by K.S.A. 17-7666, andamendmentsthereto;
(3) any other matters the members determine to include therein; and
(4) if the limited liability company is organized to exercise the powers of aprofessionalassociation or corporation, each such profession shall be stated.
(b) A limited liability company is formed at the time of the filing of theinitial articles oforganization with the secretary of state or at any later date or timespecified in the articles oforganization which is not later than 90 days after the date of filing, if, ineither case, there has beensubstantial compliance with the requirements of this section. A limitedliability company formedunder this act shall be a separate legal entity, the existence of which as aseparate legal entity shallcontinue until cancellation of the limited liability company's articles oforganization.
(c) An operating agreement may be entered into either before, after or at thetime of thefiling of the articles of organization and, whether entered into before, afteror at the time of suchfiling, may be made effective as of the formation of the limited liabilitycompany or at such othertime or date as provided in the operating agreement.
