17-7674.   Same; amendments.(a) Articles of organization are amended by filing acertificateof amendmentthereto with the secretary of state. The certificate of amendment shall setforth:

      (1)   The name of the limited liability company; and

      (2)   the amendment to the articles of organization.

      (b)   A manager or, if there is no manager, then any member who becomes awarethat anystatement in the articles of organization was false when made, or that anymatter described haschanged making the articles of organization false in any material respect,shall promptly amend thearticles of organization.

      (c)   Articles of organization may be amended at any time for any other properpurpose.

      (d)   Unless otherwise provided in this act or unless a later effective date ortime (which shallbe a date or time certain within 90 days of the date of filing) is providedfor in the certificate ofamendment, a certificate of amendment shall be effective at the time of itsfiling with the secretaryof state.
