17-7675.   Same; cancellation.Articles of organization shall be canceled upon thedissolution and the completionof winding up of a limited liability company, or as provided in subsection (d)of K.S.A. 17-7666, andamendments thereto, or K.S.A. 17-76,139, and amendments thereto, orupon the filingof a certificate ofmerger or consolidation if the limited liability company is not the survivingor resulting entity in amerger or consolidation, or upon the conversion of a domestic limited liabilitycompany approvedin accordance with K.S.A. 17-7685, and amendments thereto, by filinga certificateof cancellation withthe secretary of state to accomplish the cancellation of articles oforganization upon the dissolutionand the completion of winding up of a limited liability company or upon theconversion of adomestic limited liability company approved in accordance with K.S.A. 17-7685,andamendmentsthereto, and which shall set forth:

      (a)   The name of the limited liability company;

      (b)   the reason for filing the certificate of cancellation;

      (c)   the future effective date or time (which shall be a date or time certainnot later than 90days after the date of filing) of cancellation if it is not to be effectiveupon the filing of thecertificate;

      (d)   Any other information the person filing the certificate of cancellationdetermines.
