17-7676.   Execution.(a) Each of the articles or any certificate required by thisactto be filed with thesecretary of state shall be executed by one or more authorized persons.

      (b)   Unless otherwise provided in an operating agreement, any person may signthe articles,any certificate, any amendment thereof, or enter into an operating agreement oramendment thereofby an agent, including an attorney-in-fact. An authorization, including a powerof attorney, to signany articles, certificate or any amendments thereof, or to enter into anoperating agreement oramendment thereof need not be in writing, need not be sworn to, verified oracknowledged, and neednot be filed with the secretary of state, but if in writing, must be retainedby the limited liabilitycompany.

      (c)   The execution of articles or a certificate by an authorized personconstitutes an oath oraffirmation, under the penalties of perjury that, to the best of the authorizedperson's knowledge andbelief, the facts stated therein are true.
