17-7677. Execution by judicial order.(a) If a person required to execute a certificate requiredby this act fails or refusesto do so, any other person who is adversely affected by the failure or refusalmay petition the districtcourt to direct the execution of the certificate. If the court finds that theexecution of the certificateis proper and that any person so designated has failed or refused to executethe certificate, it shallorder the secretary of state to record an appropriate certificate.
(b) If a person required to execute an operating agreement or amendmentthereof fails orrefuses to do so, any other person who is adversely affected by the failure orrefusal may petition thedistrict court to direct the execution of the operating agreement or amendmentthereof. If the courtfinds that the operating agreement or amendment thereof should be executed andthat any personrequired to execute the operating agreement or amendment thereof has failed orrefused to do so, itshall enter an order granting appropriate relief.
