17-7682.   Contractual appraisal rights.An operating agreement or an agreement of merger orconsolidation may provide that contractual appraisal rightswith respect to a limited liability company interest or another interestin a limited liability company shall be available for members or limitedliability company interestsin connection with any amendment of the operating agreement, any merger orconsolidation in whichthe limited liability company is a constituent party to the merger orconsolidation, or the sale of allor substantially all of the limited liability company's assets. The districtcourt shall have jurisdictionto hear and determine any matter relating to any such appraisal rights.
