17-76,120.   Law governing.(a) Subject to the constitution of thestate of Kansas:

      (1)   The laws of the state, territory, possession, or other jurisdiction orcountry under whicha foreign limited liability company is organized to govern its organization andinternal affairs and theliability of its members and managers; and

      (2)   A foreign limited liability company may not be denied registration byreason of anydifference between those laws and the laws of the state of Kansas.

      (b)   A foreign limited liability company shall be subject to K.S.A. 17-7668,andamendmentsthereto.
