17-76,121. Registration required;application.Before doing business in the state of Kansas, a foreign limited liabilitycompany shall register with the secretary of state. In order to register, aforeign limited liability company shall submit to the secretary of state,together with payment of the fee required by this act, an original copyexecuted by a member or manager, together with a duplicate copy, of anapplication for registration as a foreign limited liability company, settingforth:
(a) The name of the foreign limited liability company;
(b) the state or other jurisdiction or country where organized, the date ofits organization and a statement issued by an appropriate authority in thatjurisdiction or by a third-party agent authorized by the secretary of statethat the foreign limited liability company exists in good standing under thelaws of the jurisdiction of its organization;
(c) the nature of the business or purposes to be conducted or promoted in thestate of Kansas;
(d) the address of the registered office and the name and address of theresident agent for service of process required to be maintained by this act;
(e) an irrevocable written consent of the foreign limited liability companythat actions may be commenced against it in the proper court of any countywhere there is proper venue by the service of process on the secretary of stateas provided for in K.S.A. 60-304, and amendments thereto, and stipulating andagreeing that such service shall be taken and held, in all courts, to be asvalid and binding as if due service had been made upon the general partners ofthe foreign limited liability company;
(f) the name and business, residence or mailing address of each of themembers or, if managed by managers, the name and business, residence or mailingaddress of each of the managers; and
(g) the date on which the foreign limited liability company first did, orintends to do, business in the state of Kansas.
A person shall not be deemed to be doing business in the state of Kansas solelyby reason of being a member or manager of a domestic limited liability companyor a foreign limited liability company.
