17-76,130.   Right to bring action.A member may bring an action in the district court in theright of a limited liabilitycompany to recover a judgment in its favor if managers or members withauthority to do so haverefused to bring the action or if an effort to cause those managers or membersto bring the action isnot likely to succeed.
