17-7701.   Applicability of sections.(a) A merger or consolidation solely between any two or moredomestic corporations or one [or] more domestic corporations and one ormore foreigncorporations shall be governed by and subject to K.S.A. 17-6701 etseq. andamendments thereto, as is applicable.

      (b)   A merger or consolidation solely between any two or more domesticlimited partnerships or one or more domestic limited partnerships and one ormore foreign limited partnerships shall be governed by and subject to K.S.A.56-1a609 and amendments thereto.

      (c)   A merger or consolidation solely between any two or more domesticlimitedliability companies or one or more domestic limited liability companies and oneor more foreign limited liability companies shall be governed by K.S.A. 17-7681and amendments thereto.

      (d)   Subject to the provisions of this section, any merger or consolidationbetween one or more domestic corporations and any one or more constituententities at least one of which is not a corporation, one or more domesticlimited partnerships and any one or more constituent entities at least one ofwhich is not a limited partnership, or one or more domestic limited liabilitycompanies and anyone or more constituent entities at least one of which is not a limitedliability company shall be governed by and subject to the provisions ofK.S.A. 17-7701 through 17-7708, and amendments thereto.
