19-2764.   Same; meetings of the board of directors;compensation ofdirectors and assessors; payment.(a) Regular meetings of the board of directors shall be heldon thefirst Tuesday of each quarter. Special meetings maybe held at any timewhen all the directors are voluntarily present or may be called by thepresident or any two directors at any time. Each meeting of the board,whether special or regular, shall be open to the public. Exceptas provided in subsection (b), each directorshall receive as compensation for services as such, the sum of $5 per daywhile actually and necessarily engaged in the performance of suchdirector's duties under this act. The assessors provided for by this actshall receive fortheir services each the sum of $5 per day while actually and necessarilyengaged in the performance of such assessor's duty. Thecompensation of directors andassessors shall be paid out of the general fund of the improvementdistrict authorized by this act.

      (b)   The board of directors, by adoption of a resolution, may fix theamountof compensation to be received by the members of the board. Such resolutionshall be published at least once each week for two consecutive weeks in anewspaper of general circulation within the improvement district. If the totalamount of compensation to be received annually by each member of the board is$100 or less, such resolution shall not be required to be published and shallbe effective upon adoption of the resolution. A resolution providing for anincrease in compensation shall not be effective until 30 days following thedate of the last publication of the resolution.
