Center for agricultural science and heritage established; purposes
    
Sec. 1. (a) The center for agricultural science and heritage (thebarn) is established.
    (b) The barn is established for the following purposes:
        (1) To educate the public concerning the past, present, andfuture of American agriculture and rural life.
        (2) To educate youth and the general public about Americanagriculture and food systems.
        (3) To provide educational programming for youth thatcomplements school curricula, both onsite and in the classroom.
        (4) To create a synergy between Indiana's institutions ofeducation and agriculture related industries.
        (5) To generate economic vitality, convention activity, andtourism activity for Indiana.
        (6) To become:
            (A) a center for agricultural business and thinking;
            (B) a clearinghouse of agricultural information;
            (C) a resource center for educators and the public; and
            (D) a repository for agricultural artifacts and history.
        (7) To create a central, prominent partner with whomagricultural organizations can launch, collaborate on, andcoordinate programs.
        (8) To position Indiana as the recognized agricultural center ofthe nation.

Board of trustees established
    
Sec. 2. The board of trustees for the barn is established.

Board of trustees; membership
    
Sec. 3. (a) The trustees govern the barn. The trustees consist ofseventeen (17) members as follows:
        (1) The governor or the governor's designee.
        (2) The director of the Indiana state department of agricultureor the director's designee.
        (3) The dean of agriculture of Purdue University or the dean'sdesignee.
        (4) The president of the Purdue University Agriculture AlumniAssociation or the president's designee.
        (5) The state superintendent of public instruction or the statesuperintendent's designee.
        (6) The state veterinarian or the state veterinarian's designee.
        (7) The presiding officer of the commission or the presiding

officer's designee selected from the membership of thecommission.
        (8) The presiding officer of the board or the presiding officer'sdesignee selected from the membership of the board.
        (9) One (1) member appointed by the largest Indianaorganization representing agricultural interests in Indiana, asdetermined by the number of members of the organization. Themember serves at the pleasure of the member's organization.
        (10) One (1) member appointed by the second largest Indianaorganization representing agricultural interests in Indiana, asdetermined by the number of members of the organization. Themember serves at the pleasure of the member's organization.
        (11) Seven (7) members appointed by the governor.
    (b) Of the members appointed under subsection (a)(11), not morethan four (4) may be affiliated with the same political party.
    (c) Each member appointed under subsection (a)(11) must havea recognized interest in the barn.

Board; terms
    
Sec. 4. (a) The term of a member appointed to the trustees undersection 3(a)(11) of this chapter:
        (1) is four (4) years;
        (2) begins on the later of:
            (A) October 1 after the expiration of the term of the trusteewhom the member is appointed to succeed; or
            (B) the day the member is appointed; and
        (3) expires September 30 of the fourth year after the expirationof the term of the member's immediate predecessor.
    (b) Except as provided in subsection (c), a member appointedunder section 3(a)(11) of this chapter:
        (1) may be reappointed for a new term;
        (2) if reappointed, is the member's own successor orpredecessor for purposes of subsection (a); and
        (3) may not serve as a trustee for more than eight (8) years in atwelve (12) year period, except as provided in section 6(c) ofthis chapter.
    (c) A member appointed under section 3(a)(11) of this chapterbefore October 1, 2005, may not serve as a trustee more than nine (9)years in a twelve (12) year period.

Board; powers
    
Sec. 5. The trustees may do the following, with approval by thecommission:
        (1) Enter into contracts related to the trustees' powers and dutiesunder this chapter.
        (2) Receive gifts.        (3) Charge admissions.
        (4) Purchase, lease, and sell personal property.

Board; vacancy
    
Sec. 6. (a) The governor shall appoint an individual to fill avacancy among the trustees.
    (b) The individual appointed by the governor under subsection (a)serves the remainder of the unexpired term of the trustee whom theindividual replaces.
    (c) The period of the unexpired term for which an individualserves after appointment is not considered in determining the numberof years that a trustee has served in a twelve (12) year period forpurposes of section 4(b)(3) of this chapter.

Presiding officer; other officers
    
Sec. 7. (a) The trustees shall elect a member of the trusteesserving under section 3(a)(11) of this chapter to be the presidingofficer of the trustees. The trustee elected under this subsection is thepresiding officer of the trustees until the earlier of the following:
        (1) The expiration of the trustee's term.
        (2) The replacement of the trustee as presiding officer by thetrustees.
    (b) The trustees may elect other officers for the trustees from thetrustees serving under section 3(a)(11) of this chapter.

Executive director
    
Sec. 8. (a) The trustees shall recommend an individual to beemployed by the commission as the barn director, subject to approvalby the commission.
    (b) The barn director shall implement the policies of the trusteesand the commission.
    (c) The commission may delegate any of the commission's powersto the barn director. The commission may make a delegation underthis subsection by either of the following:
        (1) A resolution adopted by the commission.
        (2) A rule adopted by the commission under IC 4-22-2.
    (d) With approval by the commission, commission employees:
        (1) may be compensated in full or in part by the nonprofit entityestablished under section 13 of this chapter; and
        (2) may perform services that support the purposes of thenonprofit entity established under section 13 of this chapter.

Sec. 9. (a) The barn director may hire staff for the barn subject tothe budget approved by the trustees and the commission.
    (b) The staff of the barn are:
        (1) employees of the commission; and
        (2) accountable to the commission directly or through theexecutive director of the commission.

Delegation of powers
    
Sec. 10. The barn director may delegate a power or duty of thebarn director to a member of the barn staff.

Quorum
    
Sec. 11. A majority of the trustees constitutes a quorum for thetransaction of business.

Sec. 12. A majority vote of the trustees is necessary to takeofficial action.

Nonprofit fund raising entity
    
Sec. 13. (a) The trustees may establish a nonprofit entity to solicit,raise, and accept funds.
    (b) The nonprofit entity established under this section may receiveproceeds from the operations of the barn, subject to approval by thecommission.
    (c) The nonprofit entity established under this section is governedby a board of directors. The directors include:
        (1) the presiding officer of the trustees of the barn, who may actas presiding officer of the board of directors; and
        (2) four (4) individuals appointed by the trustees.

Payment of expenses
    
Sec. 14. The commission shall pay the operating expenses of thebarn from the funds allocated by the commission to the barn.

Annual report
    
Sec. 15. At the first meeting each year of the advisory committee,

the trustees shall report the following:
        (1) The activities of the barn during the previous calendar year.
        (2) The financial condition of the barn for the barn's mostrecently completed fiscal year.
        (3) The trustees' plans for the barn for the current calendar year.

Per diem and travel expenses
    
Sec. 16. (a) Subject to subsection (b):
        (1) each member of the trustees who is not a state employee isentitled to the minimum salary per diem provided byIC 4-10-11-2.1(b) and is entitled to reimbursement for travelexpenses and other expenses actually incurred in connectionwith the member's duties; and
        (2) each member of the trustees who is a state employee isentitled to reimbursement for traveling expenses and otherexpenses actually incurred in connection with the member'sduties;
as provided in the state policies and procedures established by theIndiana department of administration and approved by the budgetagency.
    (b) The commission shall adopt a policy for:
        (1) the number of meetings the trustees may hold; and
        (2) payment of per diem and travel expenses:
            (A) for trustees' meetings; and
            (B) during the time of other required activities.

Holding real property in trustee's name prohibited
    
Sec. 17. The trustees may not hold real property in the trustees'name.
