Sec. 1. The name of the board of trustees of Indiana University is"the trustees of Indiana University".

Sec. 2. The board of trustees has nine (9) members.

Board; residency requirement
    
Sec. 3. This section does not apply to the student trusteeappointed to the board of trustees. Not more than:
        (1) one (1) of the trustees elected to the board of trustees; and
        (2) two (2) of the trustees appointed to the board of trustees;
may reside in the same county.

Board; elections
    
Sec. 4. (a) Three (3) members of the board of trustees shall beelected by the alumni of Indiana University under this chapter. In theyear in which the term of any member of the board of trustees electedby the alumni expires, a successor to the trustee shall be elected bythe alumni of Indiana University, to serve for a term of three (3)years beginning July 1 next succeeding the election.
    (b) When a vacancy occurs in the membership of the board oftrustees who are elected by the alumni, because of death, resignation,or any other reason, the vacancy shall be filled by election by thealumni, for the unexpired term.

Board; alumni elections
    
Sec. 5. The members of the board of trustees who are elected bythe alumni of Indiana University must be alumni of IndianaUniversity.

Registry of alumni
    
Sec. 6. A registry of the names and addresses of the alumni ofIndiana University shall be kept, and corrected from time to time, bythe president of Indiana University or the president's designatedrepresentative. The alumni of Indiana University consist of those

persons who have been awarded a degree by the board of trustees ofIndiana University as recommended by the faculty.

Alumni nominations
    
Sec. 7. (a) Any one hundred (100) or more alumni of IndianaUniversity may file with the librarian of Indiana University on orbefore April 1 in each year a written nomination for a trustee to beelected by the alumni at the next election.
    (b) After April 1, but not later than June 1, a list of all candidatesnominated under this section shall be mailed by the librarian to eachalumnus at the alumnus's address.

Elections; date
    
Sec. 8. The election of members of the board of trustees shall beheld at Indiana University on the secular day immediately precedingJuly 1, at 9 a.m. At that time trustees shall be elected to:
        (1) serve for a term of three (3) years from July 1 nextsucceeding the trustee's election; and
        (2) complete any unexpired term or terms.

Alumnus voting procedures
    
Sec. 9. (a) Each alumnus may send to the librarian, over thealumnus's signature, at any time before the election of a trustee ortrustees, the vote for the trustee or trustees that the alumnus wouldbe entitled to cast if personally present at the election. The ballotsand the containers in which the ballots are submitted must be:
        (1) prepared and furnished by the librarian; and
        (2) designed as to enable the librarian to ascertain the name ofthe voter, and to determine whether the voter is entitled toparticipate in the election, without knowing for whom the votercasts a ballot.
    (b) The librarian shall deliver all votes cast in the election, to beopened and counted at the election, together with the votes cast bythose alumni who are personally present and entitled to vote at theelection.
    (c) An alumnus may not cast more than one (1) vote.

Votes
    
Sec. 10. The person receiving the greatest number of votes castshall be declared the elected trustee. If two (2) or more personsreceive an equal and the greatest number of votes cast, the librarianshall cast lots to determine which of the persons shall be declared the

elected trustee.

Board; terms
    
Sec. 11. The term of an elected trustee expires July 1 of the yearin which the terms are to end.

Board; appointments
    
Sec. 12. (a) The governor shall appoint five (5) members of theboard of trustees for terms of three (3) years.
    (b) Whenever a vacancy occurs in the membership of the board oftrustees who are appointed by the governor because of death,resignation, removal from the state, or for any other reason, thevacancy shall be filled by an appointment of the governor for theunexpired term.

Board; student appointment
    
Sec. 13. The governor shall appoint to the board of trustees amember who must be a full-time student of Indiana University duringthe two (2) year tenure of the appointment.

Search and screen committee; creation
    
Sec. 14. (a) To aid the governor in the selection of the studentmember, a search and screen committee is created consisting of:
        (1) one (1) representative of the governor; and
        (2) at least four (4) students chosen by the elected studentgovernment representatives of the student body, including atleast one (1) student from each campus of the university, mainand regional.
    (b) The search and screen committee shall establish the mode andcriteria to be used in the selection of student nominees to serve onthe board of trustees.
    (c) The search and screen committee shall submit a list of at leastten (10) names to the governor for consideration.
    (d) The governor shall select one (1) of these names forappointment as a trustee of the university in accordance with thischapter.

Board; vacancies
    
Sec. 15. The board of trustees shall declare vacant the seat of anytrustee who is:        (1) absent from two (2) successive meetings of the board oftrustees; or
        (2) guilty of any gross immorality or breach of the bylaws ofIndiana University.

Board; emergency appointments
    
Sec. 16. (a) This section applies if an emergency is declared bythe faculty after a session of the board of trustees has been called thatthe board of trustee members who do not reside in Monroe Countyfailed to attend.
    (b) Three (3) trustees who reside in Monroe County may fillvacancies in the faculty of Indiana University and the board oftrustees. If there are not three (3) trustees in attendance after anemergency is declared, the:
        (1) trustees who attend; and
        (2) members of the faculty who attend;
shall fill the vacancies.
    (c) Appointments made under this section expire at the nextmeeting of the board of trustees.
