Board of trustees
Sec. 1. Ivy Tech Community College shall be governed by a stateboard of trustees appointed by the governor.

Board of trustees
Sec. 2. The state board of trustees shall be known by the name of"The Trustees of Ivy Tech Community College of Indiana". In thecorporate name and capacity, the state board of trustees may sue, besued, plead, and be impleaded, in any court of record, and by thatname has perpetual succession.

Board; membership
Sec. 3. (a) The number of members of the state board of trusteesmust equal the number of regions established by the state board oftrustees. Each member of the state board of trustees must haveknowledge or experience in one (1) or more of the following areas:
(1) Manufacturing.
(2) Commerce.
(3) Labor.
(4) Agriculture.
(5) State and regional economic development needs.
(6) Indiana's educational delivery system.
One (1) member of the state board of trustees must reside in eachregion established by the state board of trustees. Appointments shallbe for three (3) year terms, on a staggered basis.
(b) An individual who holds an elective or appointed office of thestate is not eligible to serve as a member of the state board oftrustees. A member of a regional board may be appointed to the stateboard of trustees but must then resign from the regional board.

Board; vacancies
Sec. 4. (a) The governor shall fill all vacancies on the state boardof trustees. Each trustee appointed to fill a vacancy shall representthe same region as the trustee's predecessor.
(b) If a vacancy occurs on the state board of trustees, the regionalboard for the region in which the former member resided mayrecommend to the governor one (1) or more qualified persons to fillthe vacancy.

Member participating by electronic means of communication
Sec. 5. (a) This section applies to a meeting of the state board ora committee of the state board at which at least a quorum of theboard or the committee is physically present at the place where themeeting is conducted.
(b) A member of the state board or a committee of the state boardmay participate in a meeting of the state board or a committee of thestate board by using a means of communication that permits:
(1) all other members participating in the meeting; and
(2) all members of the public physically present at the placewhere the meeting is conducted;
to simultaneously communicate with each other during the meeting.
(c) A member who participates in a meeting by using a means ofcommunication described in subsection (b) is considered to bepresent at the meeting.
(d) The memoranda of the meeting prepared under IC 5-14-1.5-4must state the name of:
(1) each member who was physically present at the place wherethe meeting was conducted;
(2) each member who participated in the meeting by using ameans of communication described in subsection (b); and
(3) each member who was absent.
