Board; membership
    Sec. 1. The board of trustees consists of ten (10) trustees.

Board; appointments
    Sec. 2. Nine (9) members of the board of trustees shall beappointed by the governor, one (1) of whom must be a resident ofKnox County and one (1) must be an alumnus of VincennesUniversity. In addition, the governor shall appoint one (1) trusteewho is a full-time student of Vincennes University during thestudent's term.

Search and screen committee; creation
    Sec. 3. (a) To aid the governor in the selection of the studentmember of the board of trustees, a search and screen committee iscreated. The search and screen committee consists of:
        (1) one (1) representative of the governor; and
        (2) at least four (4) students chosen by the elected studentgovernment representatives of the student body.
    (b) The search and screen committee shall establish the mode andcriteria to be used in the selection of student nominees to serve onthe board of trustees.
    (c) The search and screen committee shall submit a list of thenames of at least five (5) individuals to the governor forconsideration.
    (d) The governor shall select one (1) of these individuals forappointment as a trustee in accordance with this chapter.

Board; terms
    Sec. 4. The term of each appointed trustee is three (3) years.However, the term of the student appointee is one (1) year.

Board; vacancies
    Sec. 5. If a vacancy occurs in the membership of the board oftrustees, the vacancy shall be filled by the board of trustees for theunexpired term.

IC 21-25-3-6 Board; date of appointments
    Sec. 6. The appropriate number of appointive trustees shall beappointed before the first Monday of October of each year. The firstMonday is the first day of their terms.

Board; ex officio membership
    Sec. 7. There shall be the following four (4) ex officio membersof the board of trustees:
        (1) The president of the university.
        (2) The superintendent of the Vincennes Community SchoolCorporation.
        (3) The superintendent of the South Knox School Corporation.
        (4) The superintendent of the North Knox School Corporation.

Member participating by electronic means of communication
    Sec. 8. (a) This section applies to a meeting of the board oftrustees or a committee of the board of trustees at which at least aquorum of the board or the committee is physically present at theplace where the meeting is conducted.
    (b) A member of the board or a committee of the board mayparticipate in a meeting of the board or the committee by using ameans of communication that permits:
        (1) all other members participating in the meeting; and
        (2) all members of the public physically present at the placewhere the meeting is conducted;
to simultaneously communicate with each other during the meeting.
    (c) A member who participates in a meeting by using a means ofcommunication described in subsection (b) is considered to bepresent at the meeting.
    (d) The memoranda of the meeting prepared under IC 5-14-1.5-4must state the name of:
        (1) each member who was physically present at the place wherethe meeting was conducted;
        (2) each member who participated in the meeting by using ameans of communication described in subsection (b); and
        (3) each member who was absent.
