Preemptive rights in existence under prior law
    Sec. 2. Shareholders' preemptive rights in existence on July 31,1987 (or on the date specified by a resolution of the board ofdirectors of a corporation adopted under IC 23-1-17-3(b)), underprior law continue in effect as created under prior law. However, ifthe corporation's articles of incorporation are amended under thisarticle with respect to preemptive rights, then all shareholders'preemptive rights are subject to this article after the amendment iseffective.

Indiana business law survey commission
    Sec. 3. (a) The Indiana business law survey commission isestablished for the purpose of considering recommendations to thegeneral assembly, from time to time, concerning amendments to thisarticle, IC 23-17, or any other corporation, limited liability company,or partnership laws, or new or additional legislation affectingcorporations, limited liability companies, partnerships, or otherbusiness entities (domestic or foreign) authorized to do business ordoing business in Indiana.
    (b) The commission consists of fourteen (14) members, appointedby the governor, who shall serve without compensation and withoutreimbursement for expenses. The secretary of state also shall serveas an ex officio member.
    (c) The commission shall conduct its proceedings and affairsaccording to such rules as it may prescribe.
    (d) The commission may publish official comments.
