    Sec. 1. A corporation may provide in articles of incorporation orbylaws that delegates have some or all of the authority of members.

Articles of incorporation or bylaws; provisions
    Sec. 2. The articles of incorporation or bylaws may set forthprovisions relating to the following:
        (1) The characteristics, qualifications, rights, limitations, andobligations of delegates, including selection and removal.
        (2) Calling, noticing, holding, and conducting meetings ofdelegates.
        (3) Carrying on corporate activities during and betweenmeetings of delegates.
