    Chapter 4. District Board and Advisory Board

District governance
    
Sec. 1. The power to govern the district is vested in a regionalfunding, service area, and coordination board.

Board membership
    
Sec. 2. The board has the following members:
        (1) Four (4) members selected by majority vote of the railservice board from the members of the rail service board. Eachof these members must be from a different county.
        (2) Three (3) members selected by majority vote of the busservice board from the members of the bus service board. Two(2) of these members must be mayors, and one (1) of thesemembers must be a member of a county fiscal body.
        (3) Three (3) nonvoting members as follows:
            (A) The president of the Gary airport authority board.
            (B) The president of the South Bend airport authority board.
            (C) A member appointed by the governor.

The gubernatorial appointment
    
Sec. 3. (a) The board member appointed by the governor shallserve:
        (1) at the pleasure of the governor; and
        (2) for a term of two (2) years from the beginning of the termfor which the member was appointed and until a successor hasqualified for the office.
    (b) The board member appointed by the governor is eligible forreappointment for successive terms.

Quorum; chairperson; action by the district
    
Sec. 4. (a) A majority of the board members constitutes a quorumfor a meeting.
    (b) The board member appointed by the governor shall serve asboard chairperson. The members of the board shall elect from itsmembers the following officers for a one (1) year term:
        (1) A vice chairperson.
        (2) A secretary.
        (3) A treasurer.
    (c) The affirmative votes of at least a majority of the boardmembers are necessary to authorize any action of the district.

Meeting frequency
    
Sec. 5. The board shall meet at least quarterly.

Power to call a meeting
    
Sec. 6. The board chairperson or any two (2) members may calla meeting of the board. The chairperson shall call the initial meetingof the board for a date that is not more than thirty (30) days after theboard is initially established.

Adoption of bylaws and rules
    
Sec. 7. The board may adopt the bylaws and rules that the boardconsiders necessary for the proper conduct of the board's duties andthe safeguarding of the district's funds and property.

Compensation of board members prohibited
    
Sec. 8. A board member is not entitled to receive compensationfor performance of the member's duties. A board member is notentitled to a per diem from the district for the member's participationin board meetings.

Advisory board established; membership; meetings; purpose
    
Sec. 9. (a) The regional transportation district advisory board isestablished. The district advisory board has the following members:
        (1) One (1) member of the commuter rail service advisory boardwho is a commuter rail passenger appointed by the commuterrail service advisory board.
        (2) One (1) member of the bus service advisory board who is abus passenger appointed by the bus service advisory board.
        (3) One (1) member of the commuter rail service advisory boardwho is a commuter rail division employee appointed by thecommuter rail service advisory board.
        (4) One (1) member of the bus service advisory board who is abus division employee appointed by the bus service advisoryboard.
    (b) A member of the district advisory board shall serve for a termof two (2) years from the beginning of the term for which themember was appointed and until a successor has qualified for theoffice. Each member shall serve at the pleasure of the appointingauthority but is eligible for reappointment for successive terms.
    (c) The members of the district advisory board shall elect for aone (1) year term:        (1) one (1) member as chairperson;
        (2) one (1) member to serve as vice chairperson; and
        (3) one (1) member to serve as secretary.
    (d) The district advisory board shall meet:
        (1) at least quarterly at the call of the chairperson of the districtadvisory board; or
        (2) as requested by the board of the district.
    (e) The district advisory board shall, as considered necessary bythe district advisory board or as requested by the board of the district,study issues and make recommendations concerning mattersaffecting the district.
