92A.230  Signing of articles of merger, conversion or exchange.  Articles of merger, conversion or exchange must be signed by each foreign and domestic constituent entity as follows:

1.  By an officer of a corporation, whether or not for profit;

2.  By one of the general partners of a limited partnership;

3.  By a manager of a limited-liability company with managers or by one member of a limited-liability company without managers;

4.  By a trustee of a business trust; and

5.  By one general partner of a general partnership.
