SUBCHAPTER B FOREIGN REGISTERED LIMITED LIABILITY PARTNERSHIPS Sec. 8211. Foreign registered limited liability partnerships. § 8211. Foreign registered limited liability partnerships. (a) Governing law.--Subject to the Constitution of Pennsylvania: (1) The laws of the jurisdiction under which a foreign registered limited liability partnership is organized govern its organization and internal affairs and the liability of its partners except as provided in subsection (c). (2) A foreign registered limited liability partnership may not be denied registration by reason of any difference between those laws and the laws of this Commonwealth. (b) Registration to do business.--A foreign registered limited liability partnership, regardless of whether or not it is also a foreign limited partnership, shall be subject to Subchapter K of Chapter 85 (relating to foreign limited partnerships) as if it were a foreign limited partnership, except that: (1) Its application for registration shall state that it is a registered limited liability partnership. (2) The name under which it registers and conducts business in this Commonwealth shall comply with the requirements of section 8203 (relating to name). (3) Section 8582(a)(5) and (6) (relating to registration) shall not be applicable to the application for registration of a foreign limited liability partnership that is not a foreign limited partnership. (c) Exception.--The liability of the partners in a foreign registered limited liability partnership shall be governed by the laws of the jurisdiction under which it is organized, except that the partners shall not be entitled to greater protection from liability than is available to the partners in a domestic registered limited liability partnership.
