§ 13.1-687. Waiver of notice by director.

A. A director may waive any notice required by this Act, the articles ofincorporation, or bylaws before or after the date and time stated in thenotice, and such waiver shall be equivalent to the giving of such notice.Except as provided in subsection B of this section, the waiver shall be inwriting, signed by the director entitled to the notice, and filed with theminutes or corporate records.

B. A director's attendance at or participation in a meeting waives anyrequired notice to him of the meeting unless the director at the beginning ofthe meeting or promptly upon his arrival objects to holding the meeting ortransacting business at the meeting and does not thereafter vote for orassent to action taken at the meeting.
