§ 15.2-6203. Board of Authority; members and officers; staff; annual report.

A. All powers, rights and duties conferred by this chapter, or otherprovisions of law, upon the Authority shall be exercised by the Board of theAlleghany-Highlands Economic Development Authority, hereinafter referred toas the Board or the Board of the Authority. Initial appointments shall beginJuly 1, 1993. The Board shall consist of seven members as follows: onerepresentative of each of the region's governing bodies, or their designees,who shall be appointed by the respective governing bodies and shall beresidents of the region; four at-large members, who shall be appointed by theGovernor and shall be residents of the region; and one member to be appointedby the Chief Executive Officer of the Virginia Economic DevelopmentPartnership. However, all appointments made after July 1, 2005, shall be madesolely by the participating governing bodies, in a manner agreed to by thegoverning bodies. All members shall serve for a term of four years and may bereappointed for one additional term. For the initial appointments only, twoof the four at-large members shall be appointed for two-year terms and suchinitial terms shall not be counted toward the term limitation.

B. Each member of the Board shall, before entering upon the discharge of theduties of his office, take and subscribe to the oath prescribed in § 49-1.Members shall be reimbursed for actual expenses incurred in the performanceof their duties.

C. Four members of the Board shall constitute a quorum, and the affirmativevote of four members of the Board shall be necessary for any action taken bythe Board. No vacancy in the membership of the Board shall impair the rightof a quorum to exercise all the rights and perform all the duties of theBoard.

D. The Board shall elect from its membership a chairman and asecretary-treasurer for each calendar year. The secretary-treasurer shallkeep the minutes of the Board and affix the seal of the Authority.

The Board may also appoint an executive director and staff who shalldischarge such functions as may be directed by the Board.

E. The Board, promptly following the close of the fiscal year, shall submitan annual report of the Authority's activities for the preceding year to theGovernor, the General Assembly, and the board of supervisors and town councilof the Region. Each such report shall set forth a complete operating andfinancial statement covering the operation of the Authority during such year.
