15A:5-3.Ā  Special meetings of members
Special meetings of the members may be called by the president or the board,Ā  or by any other officers, trustees or members as may be provided in the bylaws. Notwithstanding any provision in the bylaws, upon the application of not lessĀ  than 10% of all the members entitled to vote at a meeting, the Superior Court,Ā  in an action in which the court may proceed in a summary manner, for good causeĀ  shown, may order a special meeting of the members to be called and held at aĀ  time and place, upon notice and for the transaction of such business as may beĀ  designated in the order.Ā  At any meeting ordered to be called pursuant to thisĀ  section, the members present in person or by proxy and having voting powersĀ  shall constitute a quorum for the transaction of the business designated inĀ  such order.
