17B:18-58.Ā Mutual insurers;Ā adoption of amended charter or certificate ofĀ incorporation
When any mutual insurer adopts an amendment to its charter or certificate ofĀ incorporation, as provided for in this chapter, the board of directors of theĀ insurer, at the time of adopting the amendment, may adopt and ratify in itsĀ entirety an amended charter or certificate of incorporation to the end that itĀ shall fully and completely set forth all the terms and conditions of theĀ charter or certificate of incorporation under which the insurer shall thereafter transact business.Ā The amended charter or certificate of incorporation shall be executed, acknowledged, approved and filed in accordanceĀ with section 17B:18-5.
