17:14A-42.Ā Approval by stockholders;Ā filing agreement or plan
If the merger agreement or consolidation plan is approved by the affirmativeĀ vote of 2/3 of the stockholders of each company, that fact shall beĀ certified as to each company by its president or a vice president and theĀ certifications shall be attached to the merger agreement or consolidation planĀ and filed in the department at which time it shall become effective.
