SECTION 7-12-45

   § 7-12-45  Right of partner to contributionfrom copartners after dissolution. – Where the dissolution is caused by the act, death, or bankruptcy of a partner,each partner is liable to his or her copartners for his or her share of anyliability created by any partner acting for the partnership as if thepartnership had not been dissolved, unless:

   (1) The dissolution being by act of any partner, the partneracting for the partnership had knowledge of the dissolution, or

   (2) The dissolution being by the death or bankruptcy of apartner, the partner acting for the partnership had knowledge or notice of thedeath or bankruptcy, or

   (3) The liability is for a debt or obligation for which thepartner is not liable as provided in § 7-12-26(b).
