§ 7-12-48 Right to wind up. – Unless otherwise agreed, the partners who have not wrongfully dissolved thepartnership or the legal representative of the last surviving partner, notbankrupt, has the right to wind up the partnership affairs; provided, that anypartner, his or her legal representative or his or her assignee may obtainwinding up by the court upon cause shown.
