SECTION 7-6-104

   § 7-6-104  Action by incorporators,members, or directors without a meeting. – (a) Any action required by this chapter to be taken at a meeting of theincorporators, members, or directors of a corporation, or any action which maybe taken at a meeting of the incorporators, members, or directors, may be takenwithout a meeting if a consent in writing, setting forth the action taken, issigned by all of the incorporators, by all the members entitled to vote withrespect to the subject matter of the action, or by all of the directors.

   (b) The consent has the same force and effect as a unanimousvote, and that may be stated in any articles or document filed with thesecretary of state under this chapter.
