SECTION 7-6-21

   § 7-6-21  Quorum. – The bylaws may provide the number or percentage of members entitled to voterepresented in person or by proxy, or the number or percentage of votesrepresented in person or by proxy, which constitutes a quorum at a meeting ofmembers. In the absence of any provision, members holding one-tenth ( 1/10) ofthe votes entitled to be cast on the matter to be voted upon represented inperson or by proxy constitute a quorum. If a quorum is present, the affirmativevote of a majority of the members present or represented by proxy is the act ofthe members unless a greater proportion or voting by classes is required bythis chapter, the articles of incorporation, or the bylaws.
